New Look Vision Group Obtains Final Order Approving Plan of Arrangement

MONTREAL, May 18, 2021 (GLOBE NEWSWIRE) — New Look Vision Group Inc. (“New Look Vision” or the “Company”) (TSX: BCI.TO) today announced that it has obtained a final order from the Québec Superior Court in respect of the previously-announced plan of arrangement (the “Arrangement”) with NL1 AcquireCo Inc. (the “Purchaser”), an entity created by a group composed of funds managed by FFL Partners, LLC, a San Francisco-based private equity firm, Caisse de dépôt et placement du Québec or one of its affiliates, and the Dr. H. Doug Barnes Family. Under the Arrangement, New Look Vision shareholders will receive $50.00 in cash per Class A common share of New Look Vision (the “Shares”), other than certain shareholders who will receive, in respect of certain of their Shares, common shares of the Purchaser.

New Look Vision and the Purchaser have now received all required third-party approvals to complete the Arrangement. Subject to the satisfaction of certain customary closing conditions, the Company expects the Arrangement to be completed on or about May 26, 2021.
